Terms of Service

These Terms of Service ("Terms") govern your use of the Checkout Reward Shopify application ("App"), operated by Kore Business ("we", "us", or "our"). By installing or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.
1. Service Description
Checkout Reward is a Shopify application that creates a transaction-loyalty flywheel for online stores. The App:
- Automatically generates cash-back rewards for qualifying customer orders based on the merchant's configured discount percentage.
- Applies those rewards as automatic discounts on subsequent qualifying purchases at the Shopify checkout.
- Sends automated transactional communications (email and SMS) to customers on behalf of the merchant, including reward notifications, mid-life reminders, and urgency alerts before reward expiration.
- Provides a merchant dashboard for managing rewards, tracking analytics, and configuring settings.
2. Eligibility
- The App is designed for and available to Shopify merchants with a Shopify Plus plan or a Shopify partner development store.
- By installing the App, you represent that you have the authority to bind your business to these Terms and that your store meets the eligibility requirements.
- We reserve the right to restrict access if your store does not meet the plan requirements.
3. Account and Access
- Access to the App is managed through your Shopify admin account using Shopify's secure session token authentication.
- You are responsible for maintaining the security of your Shopify account credentials.
- You must not share your account access with unauthorized parties.
- You are responsible for all activity that occurs under your account.
4. Free Trial
- New merchants receive a 15-day free trial upon installation. During the trial period, the App is fully functional and no fees are charged.
- At the end of the trial period, you must activate a billing plan through Shopify to continue using the App. If you do not activate billing, the App's reward system will be paused.
- Rewards created during the trial period remain valid and subject to the usage fee if redeemed after billing is activated.
5. Pricing and Billing
- Installation: Free. There is no monthly subscription fee.
- Usage fee: We charge a fee equal to 10% of the total reward value, billed only when a reward is successfully redeemed by a customer. For example, if a customer redeems a $20.00 reward, the usage fee is $2.00.
- No fee on unused rewards: If a reward expires, is cancelled, or is never redeemed, no fee is charged.
- Billing method: All billing is processed through Shopify's native Billing API as usage charges. You authorize Shopify to charge usage fees to your account on our behalf.
- Fee source: The usage fee is taken from within the discount margin you configure — it is not an additional charge on top of the discount. Your effective out-of-pocket cost is $0 beyond the discount you already chose to offer.
6. How Rewards Work
To ensure transparency, here is how the reward system operates:
- Creation: When a customer places a qualifying order (at or above the minimum order value), the App creates a reward based on the merchant's configured discount percentage.
- Clearance window: Newly created rewards enter a clearance period (configurable by the merchant, default 1 day) before becoming redeemable. This protects merchants against chargebacks and cancellations.
- Availability: After the clearance period, the reward becomes available for redemption on the customer's next qualifying order.
- Automatic application: Rewards are applied automatically at Shopify's native checkout — no discount codes required.
- Expiration: Rewards expire after the configured validity period (default 30 days). Expired rewards cannot be redeemed and incur no fee.
- Cycle: When a reward is redeemed, a new reward is automatically created for the redemption order, continuing the loyalty flywheel.
7. Merchant Responsibilities
As a merchant using the App, you agree to:
- Configure the App's reward settings (discount percentage, minimum order value, reward period, clearance window) according to your business needs and margin tolerance.
- Ensure your use of the App complies with all applicable laws and regulations, including consumer protection, privacy, and data protection laws.
- Inform your customers about the reward program in your store's terms of service and privacy policy.
- Obtain explicit, documented consent from customers before enabling SMS communications, in compliance with TCPA, GDPR, and all other applicable regulations.
- Install and maintain the required Shopify theme snippets and checkout extensions for the App to function correctly.
- Not use the App for any fraudulent, deceptive, abusive, or illegal purpose.
- Not attempt to manipulate or artificially inflate reward creation or redemption.
8. Communications
The App sends automated transactional communications to your customers on your behalf:
- Email: Reward earned notifications, mid-life reminders, and urgency alerts before expiration. Emails are sent using the merchant's configured sender name — Checkout Reward branding is never visible to customers.
- SMS: Similar transactional notifications sent only to customers who have explicitly opted in and provided a phone number. Customers can opt out at any time by replying STOP.
You are responsible for:
- Ensuring your branding settings (sender name) are accurate and appropriate.
- Complying with applicable laws governing electronic communications (CAN-SPAM Act, TCPA, GDPR, CASL, etc.).
- Providing customers a clear and accessible way to opt out of communications.
- Not using the App's communication system for unsolicited marketing or spam.
9. Data and Privacy
Our collection, use, and sharing of data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you acknowledge and agree to our data practices as described in the Privacy Policy.
10. Intellectual Property
- The App, including its design, code, features, documentation, and all related intellectual property, is owned by Kore Business and protected by applicable intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose while it is installed on your Shopify store.
- You may not copy, modify, reverse-engineer, decompile, or create derivative works based on the App.
- The Checkout Reward name, logo, and branding are trademarks of Kore Business.
11. Disclaimers
- The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee that the App will be uninterrupted, error-free, secure, or free of harmful components.
- We are not responsible for any revenue loss, customer dissatisfaction, or other damages arising from the use or inability to use the App.
- Reward amounts are calculated based on your configured settings. We are not liable for incorrect configurations, excessive discounts, or miscalculated margins set by the merchant.
- We do not guarantee any specific increase in revenue, return rate, or customer retention.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Kore Business and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the App, including but not limited to loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising from or related to the App shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Kore Business and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the App or violation of these Terms.
- Your violation of any applicable law or regulation.
- Any communication sent to your customers through the App.
- Any dispute between you and your customers regarding rewards, discounts, or communications.
14. Termination
- You may terminate your use of the App at any time by uninstalling it from your Shopify store.
- Upon uninstallation, all active rewards are cancelled and no further fees are charged for unredeemed rewards.
- We reserve the right to suspend or terminate your access to the App immediately and without notice if you violate these Terms, engage in fraudulent activity, or use the App in a manner that could harm our service, reputation, or other users.
- All data is permanently deleted in accordance with our Privacy Policy.
- Sections 11, 12, 13, 15, and 16 survive termination.
15. Dispute Resolution
In the event of any dispute arising from or related to these Terms or your use of the App:
- The parties shall first attempt to resolve the dispute informally by contacting us at the email address below.
- If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction as described in Section 16.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Florida.
17. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, power outages, internet disruptions, Shopify platform outages, or government actions.
18. Changes to Terms
We may update these Terms from time to time to reflect changes in our services, practices, or legal requirements. We will notify merchants of material changes via the App dashboard or email at least fourteen (14) days before the changes take effect. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.
19. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kore Business regarding your use of the App, and supersede all prior agreements, understandings, and communications.
